1. Acceptance of Terms
By accessing or creating an account on Miter & Scale ("the Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, please do not use the Service.
These Terms constitute a legally binding agreement between you ("User") and DTK ReFresh (Pty) Ltd, registered in the Republic of South Africa ("DTK ReFresh", "we", "us", or "our"). We reserve the right to update these Terms at any time; continued use of the Service after changes constitutes acceptance.
2. Description of Service
Miter & Scale is a cloud-based SaaS platform designed for cabinet makers and joinery professionals. The Service provides tools for cabinet design, cut list generation, bill of materials (BOM) calculation, project costing, and client quote generation.
The Service is provided on a subscription basis with a no-cost evaluation tier available. Features available to you depend on your subscription plan (Demo, Contractor, Shop Pro, Manufacturer, or Supplier). We reserve the right to modify, suspend, or discontinue any feature with reasonable notice to users.
3. Subscriptions, Billing & Payments
Plans and fees: Miter & Scale is offered on a no-cost Demo plan and on paid subscription plans (currently Contractor, Shop Pro, Manufacturer, and Supplier). Current plan features and fees are published at miterscale.co.za/pricing and form part of these Terms by reference. As at the effective date of these Terms, fees are R399/month or R3,990/year (Contractor); R999/month or R9,990/year, plus R249/month per additional user beyond the plan allowance (Shop Pro); R1,999/month or R19,990/year, plus R199/month per additional user (Manufacturer); and from R7,500/month on an annual contract, plus a once-off setup and integration fee, with additional sponsored seats charged as agreed (Supplier). All fees are quoted in South African Rand (ZAR). Neither DTK ReFresh nor Miter & Scale is currently registered for Value-Added Tax under the Value-Added Tax Act 89 of 1991, so no VAT is charged on these fees and no VAT is recoverable by you in respect of them. Should VAT registration become compulsory, we may adjust fees to account for VAT and will give you at least 30 days' written notice before any such adjustment takes effect.
Billing cycle and authorisation: Paid plans are billed monthly in advance. By subscribing to a paid plan, you authorise PayFast (Pty) Ltd, our third-party payment processor, to collect a recurring monthly subscription payment against your chosen payment method for the applicable plan fee, on each billing date, until the subscription is cancelled. We do not receive or store your card or bank details — these are held solely by PayFast under its own terms and security controls.
Automatic renewal: Your subscription renews automatically at the start of each billing cycle for a further monthly period, at the then-current fee, until you cancel in accordance with this section.
Cancellation: You may cancel your subscription at any time by emailing jan@dtkrefresh.com or messaging us on WhatsApp (see Contact below) from your registered account email address. Cancelling stops future billing immediately, but you keep access to your plan's paid features until the end of the billing period you already paid for; your account then automatically reverts to the Demo plan. No refund is issued for the unused portion of a cancelled period (see Refunds below).
Refunds: Subscription fees are not refunded on a pro-rata basis for partial billing periods, whether you cancel, downgrade, or your account is suspended for breach of these Terms. This does not affect any right you may have under South African consumer protection law, including the cooling-off right under section 44 of the Electronic Communications and Transactions Act 25 of 2002 (ECTA), to the extent your subscription was concluded through electronic transacting and that section applies to it.
Failed payments: If a scheduled payment fails, PayFast retries the charge according to its standard retry (dunning) schedule, and we will email you when a payment fails. If payment has not succeeded within 7 days of the first failed attempt, your account is automatically downgraded to the Demo plan, and the Demo plan limits described below apply until you successfully resubscribe.
Price changes: We may change subscription fees from time to time. We will give you at least 30 days' notice of any price increase by email to your registered address before it takes effect. Your continued use of a paid plan after a price change takes effect constitutes acceptance of the new fee; if you do not agree, you may cancel before the change takes effect.
Demo plan limits: The Demo plan is limited to 2 active projects and 5 client records, and the quote documents it produces carry a Miter & Scale watermark. Demo plan projects that have been inactive for more than 30 days may have their associated project data deleted, as described in section 9 (Termination) below and in our Privacy Policy.
Upgrades and downgrades: Upgrading your plan takes effect immediately — PayFast charges the new plan's full monthly fee immediately as your first payment under the new plan; we do not currently prorate this charge for the remainder of the billing cycle you are upgrading from. Downgrading takes effect at the start of your next billing cycle; you keep your current plan's features until then.
4. User Accounts & Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.
You must provide accurate and complete information when creating your account and keep this information up to date. You may not use the Service for any unlawful purpose or in violation of any applicable regulations.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or whose subscription payments are in arrears.
5. Intellectual Property
The Service, including all software, algorithms, designs, content, and documentation, is owned by DTK ReFresh and is protected by South African and international intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
Your project data, cabinet configurations, and other content you create using the Service ("User Content") remain your property. You grant us a limited, non-exclusive licence to host and process your User Content solely for the purpose of providing the Service.
6. Data Processing & POPIA Compliance
DTK ReFresh processes your personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA). As the Responsible Party, we are committed to lawful, fair, and transparent processing of personal information.
Lawful grounds for processing: We process your personal information on the basis of (a) performance of the contract between you and us, (b) your consent where required, and (c) our legitimate interests in operating and improving the Service.
Your rights under POPIA: You have the right to request access to your personal information, request correction of inaccurate data, request deletion of your data, object to processing, and lodge a complaint with the Information Regulator of South Africa.

7. GDPR Rights (EU Users)
If you are located in the European Union or European Economic Area, you are also protected by the General Data Protection Regulation (GDPR). We process your data on the following legal bases: performance of a contract, legitimate interests, and your consent where applicable.
Your GDPR rights include: right of access (Article 15), right to rectification (Article 16), right to erasure / "right to be forgotten" (Article 17), right to restriction of processing (Article 18), right to data portability (Article 20), and right to object (Article 21).
To exercise any of these rights, contact us at privacy@dtkrefresh.com. We will respond within 30 days. If you are dissatisfied, you may lodge a complaint with your local Data Protection Authority.
8. Limitation of Liability
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that cut lists, costings, or quotes generated are free from errors. You are responsible for verifying all calculations before use in construction.
To the maximum extent permitted by South African law, DTK ReFresh's total liability for any claims arising from your use of the Service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
9. Termination
You may cancel your account at any time as described in section 3 (Subscriptions, Billing & Payments) above. Upon cancellation, you keep access to your paid plan until the end of the billing period you already paid for, after which your account automatically reverts to the Demo plan. Demo accounts whose projects have been inactive for more than 30 days may have that project data deleted in accordance with the Demo plan retention policy.
We may terminate or suspend your account for breach of these Terms, non-payment, or fraudulent activity. Upon termination, you may request an export of your User Content within 30 days.
10. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Gauteng, South Africa, without prejudice to any right you may have to approach a consumer court or the Information Regulator.
